Our Banking and Finance practice provides legal advice on a complete range of New Zealand banking and finance issues. Clients include international and domestic banks, investment banks and other financial institutions, Government departments, crown agencies, state owned enterprises, corporate borrowers, trustee companies and local authorities.

Our practice has a debt financing focus specialising in the areas of capital markets, project finance, securitisation and corporate lending. We have the pre-eminent local authority practice. We also have extensive expertise in debt and security structuring, derivatives, equity funding and acquisitions and dispositions of receivables' portfolios.

We have a comprehensive Banking and Finance law practice advising on all aspects of debt and security enforcement, mortgage and guarantee law, priority issues and insolvency. We also act for several prominent accounting firms when they are appointed as receivers and liquidators.

As part of our Banking and Finance law practice, we have a strong specialised structured finance practice with extensive experience in areas, including:

  • IPOs - including the preparation and verification of offering documents, due diligence investigations, underwriting agreements and the myriad of technical matters that are feature of any public offer.

  • NZX – listing and quotation of securities on the New Zealand Stock Exchange as well as the implications of offers and transactions by listed issuers under the Listing Rules.

  • Large Transactions - we have participated in New Zealand's largest public offerings of securities including the Telecom offer by Ameritech, the IPOs by the Crown of its shareholdings in Auckland International Airport and Contact Energy, the New Zealand limbs of Telstra 1 & Telstra 2 and, in 2001, the GPG capital note offering.

  • Small Transactions – we have been at the heart of a number of capital raisings by new technology businesses.

  • Overseas offers – advice and assistance in relation to the New Zealand legal implications of offers made by overseas issuers.

  • Debt issues – statutory and regulatory compliance for public offerings of debt securities.

  • Managed Funds – including superannuation products and investment adviser disclosure issues.

  • Employee incentive programs – including structuring of offers of options and other securities to employees of listed and unlisted issuers and to key personnel of many new technology businesses.

  • Compliance – including advice in relation to the obligations of related parties under the New Zealand Stock Exchange Listing Rules, compliance with substantial security holder notice requirements and codes of practice to ensure ongoing compliance with the New Zealand insider trading regime.
