Commercial

Commercial law is Simpson Grierson's largest practice area. Legal solutions are provided to a broad spectrum of the New Zealand business community and those seeking to do business in New Zealand.

Increasingly, commercial business law expertise has become an integral part of the solutions Simpson Grierson provides to every sector of the New Zealand economy, including local and central government.

Much of our work in this practice area is transactional. Simpson Grierson has developed an impressive track record in merger and acquisition activity. This includes an involvement in virtually all of the high-profile commercial transactions undertaken in New Zealand recently as well as a number of "firsts" for New Zealand. Our commercial team is closely aligned with and often works with Simpson Grierson Corporate Advisory.

Key solutions we offer in the commercial law practice area include:

  • Business structures – advising on the choice of business vehicle, establishing and modifying business structures, input into business funding decisions, capital reorganisations (including structuring different classes of capital as well as capital increases and buy-backs), amalgamations and liquidations.

  • Business operations – input into everything from key strategic decision making processes to more routine operational matters for all manner of businesses operating in all industry sectors.

  • Stakeholder issues – advising on board and shareholder decisions affecting the rights of stakeholders, the rights of groups or classes of stakeholder and representing minorities when dealing with the actions of the business or the majority.

  • Compliance – advice and the implementation of systems to aid compliance with the myriad of legal and administrative compliance obligations imposed on business structures and operations.

We are justifiably proud of the manner in which we have assisted our clients to keep up with and ahead of developments affecting their business. In doing so, we seek to be as innovative in our business and its delivery of commercial solutions as our clients are in theirs. By doing so, we seek to add value. Our vision also includes innovative charging and risk-sharing arrangements.
