(October 2007)  Acting for Autodesk Inc on the acquisition of the business assets of Skymatter Limited for US$19 million.

Smart Environmental: 
(October 2007)  Acting on the acquisition by the former owners of Streetsmart Limited and new equity investors of the waste management and recycling business of Streetsmart.

DB Zwirn Asia Investment BV:
(July 2007) Acting for the financier of Positive Educare in connection with the takeover offer for KidiCorp Group, valuing the target at over NZ$42million. 

Methven:
(July 2007) Acting on Methven's  purchase of the UK's Deva Tap Company for NZ$59 million, funded by an institutional placement, issue of new shares to shareholders and Deva management, and debt. 

Auckland City Council:
(July 2007) Advising on Auckland City Council's purchase of the 13 hectares of waterfront land and wharves at Wynyard Point (more commonly known as the "Tank Farm") for approximately NZ$80 million. 

Toll Holdings:
(June 2007) Advising Toll Holdings on its takeover offer for the remaining shareholding in Toll NZ (the former Tranz Rail), with value NZ$100million. 

MFS Living & Leisure:
(April 2007) Advising MFS Living & Leisure Group on its takeover offer for Tourism Holdings, valuing the target company at NZ$277 million.

LanzaTech NZ: 
(March 2007) Acting for LanzaTech NZ which secured US venture capital funding from Khosla Ventures, owned by Sun Microsystems founder.

Dorchester:
(March 2007) Advising Dorchester on its acquisition of a 25% stake in St Laurence, the placement of a 13% interest in Dorchester to St Laurence Mortgage Holdings and associated grant of various put and call options.

Goldman Sachs JBWere:
(February 2007) Advising Goldman Sachs JBWere on its NZ$18 million secondary placement of shares in Cavotech MSL Holdings.

Toll Holdings:
(February 2007) Advising Toll Holdings on New Zealand securities law and separation aspects of the ACCC-required spin-off of assets into Asciano, involving the issuance of an ASX-listed stapled share/unit, including obtaining exemption relief from the NZ Securities Commission.

King Country Energy:

(November 2005)  Acting for Gullivers Travel Group on the acquisition of the travel businesses of Pacific International Holdings Ltd (including Go Holidays Travel Wholesale, the Go Retail Travel Broker Network, the master franchise of Harvey World Travel in New Zealand, and travel.co.nz among other business units).

Private Health Care:
(September 2005)  Advising Private Health Care (NZ) in respect of the disposal of its 25% stake in Metlifecare Ltd and resultant public bid.

Toll Group:
(May 2005)  Acting for Toll Group (NZ) in relation to its shareholding in Owens Group Ltd and the takeover offer for Owens Group made by Mainfreight Ltd.

Integrated Hospitals:
(April 2005)  Acting for Integrated Hospitals Ltd on its takeover of Ascot Hospital and Clinics.

Capital Properties:
(Early 2005)  Advising on the proposed sale of management rights over Capital Properties New Zealand Ltd's asset portfolio, including defence of complaints to the Takeovers Panel and NZX in respect of the same.

Vertex Group:
(Early 2005)  Advising the independent directors of Vertex Group Holdings Ltd on steps that resulted in them seeking a court ruling concerning possible conflicts of interest at board level and challenging the validity of certain board appointments.

Deutsche Post/DHL:
(December 2004)  Advising international freight firm (Deutsche Post-owned) DHL in its 50:50 joint venture with New Zealand Post for the express courier and logistics business of New Zealand Post, which includes the brands CourierPost, Pace!, SkyRoad, Contract Logistics and Express Couriers, and road and air line operations.

Gullivers Travel Group:
(November 2004)  Advising New Zealand's largest outbound travel business, Gullivers Travel Group, on its initial public offering of shares and proposed listing on both the New Zealand and Australian Stock Exchanges, valuing the business at $160 million.

Methven:
(November 2004)  Advising Auckland-based tap, showerware and valving designer and manufacturer, Methven Ltd, on its $36.2 million initial public offering and proposed listing on the NZSX market.

Neuren Pharmaceuticals:
(November 2004) Advising Neuren Pharmaceuticals on its public offering of shares in Australia and New Zealand and listing on the Australian Stock Exchange

Abano Healthcare Group:
(November 2004)  Advising RECT Funds Management Ltd in relation to its investment of up to $5.2m in NZX listed healthcare and medical services provider, Abano Healthcare Group.

New Plymouth District Council:
(August 2004) Advising New Plymouth District Council on the sale of its cornerstone shareholding (with Taranaki Electricity Trust's and Powerco Wanganui Trust's shareholding) in Powerco Ltd.

Origin Energy:
(July 2004)  Advising Origin Energy Ltd in its purchase of Edison Mission Ltd's 51 per cent shareholding, and Takeovers Code offer for the balance of shares, in Contact Energy.

North Meats:
(July 2004)  Advising North Meats Ltd in relation to the 2004 takeover of Richmond Ltd by PPCS Ltd.

Pumpkin Patch: 
(May 2004)  Advising Pumpkin Patch Ltd in its 2004 public float, successfully raising over $100 million.

Tenon:
(April 2004)  Advising Tenon Ltd (previously Fletcher Challenge Forests Ltd) on the partial takeover offer by Rubicon Forests Ltd.

Rural Portfolio Investments: 
(April 2004)  Advising Rural Portfolio Investments Ltd on its partial takeover offer for Wrightson Ltd, involving the issue of up to $100 million in redeemable preference shares to fund the partial takeover offer.

WH Smith:
(April 2004)  Acting for WH Smith plc on the sale of the Whitcoulls Group retail chain.

GRD NL and Oceana Gold Ltd: 
(February 2004)  Advising on the trans-Tasman sale and initial public offering of  44.4% of Oceana Gold Ltd (owner of the Macraes Flat gold mine and other NZ gold prospects) by GRD NL, incorporating an A$50 million sell-down, an A$50 million new issue and A$60 million issue in consideration of a share buy-back by GRD NL, giving total effective offer proceeds of A$160 million. 

Gas Investments:
(February 2004)  Advising Gas Investments NZ Ltd as target company in the takeover offer by Energy Corporate Ltd, a wholly owned subsidiary in the Royal Dutch/Shell group of companies.

Forsyth Barr/A2 Corporation:
Advising Forsyth Barr (NZAX sponsor and underwriter) on the NZAX listing and rights issue of A2 Corporation Ltd.

Promina IPO: 
Advising on the $2.1 billion IPO of Promina (formerly known as Royal & SunAlliance), leading to the first dual listing of an Australian company with primary listing on the NZX. 

Auckland International Airport:
Advising Auckland City in the sale of 26.6% of Auckland City Council's shares in Auckland International Airport Ltd to both trade buyers and portfolio investors, involving an international offer to institutions.

Toll Group (NZ):
Advising on Toll Group (New Zealand) Ltd's successful takeover offer for Tranz Rail Ltd.

Fisher & Paykel:
Advising Fisher & Paykel on the acquisition of Farmers by Fisher & Paykel and James Pascoe, with James Pascoe acquiring the retail business and Fisher & Paykel acquiring the Farmers Finance business.

Campbell Group LLC:
Advising the Campbell Group LLC in their bid for the forestry assets of Fletcher Challenge Forests Ltd.

Westpac Banking Corporation: 
Advising Westpac Banking Corporation in relation to its expression of interest in the National Bank of New Zealand Ltd (expression withdrawn).

Chequer Corporation:
Advising Chequer Corporation on the sale of its business in New Zealand and Australia to a management "buy-in" consortium established by ANZ Private Equity.

Richmond:
Advising a key minority shareholder in relation to the 2003 takeover of Richmond Ltd by PPCS Ltd.

iHug:
Advising on the sale of the iHug business to listed Australian company iiNet Ltd.

Vincor:
Advising Vincor Ltd on the acquisition of Kim Crawford Wines.

Unison Networks:
Advising Unison Networks Ltd (then Hawke's Bay Network Ltd) on the acquisition of certain Eastern Region networks from United Networks Ltd, effectively doubling Hawke's Bay Network's size.

United Networks:
Advising North Shore City Council, Waitakere City Council and Rodney District Council on the sale of shares in United Networks Ltd pursuant to a takeover offer from Vector Ltd.

Fletcher Challenge Forests:
Advising Fletcher Challenge Forests Ltd on the internal restructuring with a view to the proposed buy-in by a new shareholder and general stock exchange compliance.

Dairy Farms:
Advising on Dairy Farm International Holdings Ltd's sale of Woolworths to Progressive Enterprises.

JBWere Private Equity:
Advising JBWere Private Equity Ltd on the acquisition of the Viking Pacific group of companies, including Masport Ltd.

Preussag Energie:
Advising on the Tui AG sale of Preussag Energie GmbH's New Zealand oil and gas exploration and production assets to OMV.

Advising Guinness Peat Group plc on the reverse takeover of Brunel plc.

Advising in connection with the NZ implications of the acquisition by ING Australia of Australia & New Zealand Banking Group's Australasian investment funds/investment management businesses and the contemporaneous establishment of a joint venture between ING Barings and Australia & New Zealand Banking Group to operate the combined investment funds/investment management businesses.

Westpac FIRsTS:
Advising Westpac Banking Corporation on a A$600 million capital raising by the issue of fixed interest resettable trust securities, traded on the Australian Stock Exchange.

WH Smith:
Advising on the acquisition by WH Smith plc of the Whitcoulls Group and Angus & Robertson chains in New Zealand and Australia.

Briscoe Group:
Advising Briscoe Group Ltd on their $40 million public float, providing legal advice to Briscoes and its board throughout the initial public offering process.

TelstraClear:
Advising TelstraSaturn Ltd and Telstra Corporation on the acquisition of Clear Communications Ltd, and subsequent merger to become TelstraClear.

ANZ Investment Bank/Ford Alloy Wheel Plant:
Advising on private equity investments for ANZ Investment Bank, including involvement in the purchase of the Ford Alloy Wheel Plant.
