Cath Shirley-Brown

Cath is a partner and co-leads the firm's Wellington corporate and commercial team.

She has acted for (and opposite) a wide variety of domestic and international clients, including public and private corporates, private equity funds, state owned and other investment funds and asset managers. Cath provides advice on public and private M&A, joint venture and shareholder arrangements and corporate and commercial law generally.

Cath has a particular focus on cross border M&A and transactions involving financial sponsors. She has considerable experience advising businesses and investors across a range of industries, including real estate, infrastructure, retail, energy, IT and finance. She also regularly advises local government entities on a range of corporate and commercial matters.

Prior to joining Simpson Grierson in 2018, Cath was a partner in London at a leading international firm, Bryan Cave Leighton Paisner LLP. She has previously worked at other major firms both here in New Zealand and in the UK.

  • DXC Technology Inc (a NYSE listed IT services company) - advised on its acquisition of a provider of outsourcing services to luxury brands (including Bally and Jimmy Choo)
  • The Foschini Group (a South African listed retailer) - advised on its £250 million acquisition of Phase Eight (an international women’s clothing manufacturer and distributor)
  • Tesco plc - advised on the disposal of its Tesco Opticians business to Vision Express

  • York Capital Partners (a private equity firm) - advised on its acquisition of the Alligator Self Storage business and its subsequent disposal of the business to Safestore plc

  • Thames Valley Housing Association - advised on its £350 million joint venture arrangements with a sovereign wealth fund in relation to Fizzy Living (private rental sector accommodation)
  • TDIC (the tourism arm of the Abu Dhabi government) - advised in relation to its US$400 million joint venture arrangements with LVMH in relation to the development of Saadiyat Island
  • Long Harbour Social Infrastructure fund - advised on the £150 million refinancing of a portfolio of affordable housing assets and its subsequent sale of the portfolio to a UK pension fund
  • Long Harbour Energy Infrastructure Fund - advised on its acquisition of a 50% stake in an energy storage system development and related joint venture arrangements
  • Cheyne Capital LLP (an alternative investment firm) - advised on its joint venture arrangements in relation to a private rental sector co-living and working platform and an affordable student accommodation portfolio
