Edward is an experienced commercial and projects lawyer, specialising in projects in the infrastructure, transport, and energy sectors.
He has significant domestic and international experience advising a wide range of market participants (including public bodies, banks, institutional investors, sponsors, developers, corporates and investment funds) on project structuring, and the commercial, funding and financing elements of projects and project finance transactions.
Edward also works on the establishment of joint ventures and secondary market M&A transactions in the infrastructure, transport and energy sectors.
Alongside this experience, he also has in-depth expertise advising public sector and private sector clients on complex commercial contracting and procurement matters.
Work Highlights
ACC Investments
Advising ACC Investments on the development of a bespoke funding and financing model to enable the financing of the replacement of New Zealand’s rescue helicopter fleet, including preparing a project finance-style suite of finance and transaction documents. This also includes execution of the first transactions under the model.
Oceana Gold
Advising Oceana Gold (New Zealand) Limited on the sale of its interests in the Snowy River mine to Federation Mining for US$30 million.
Genesis - Leeston Solar Farm
Advising Genesis Energy on its acquisition of a solar project in Leeston from KeaX.
Northland Corridor PPP
Advising a consortium comprised of Acciona Concesiones SL and abrdn Global Sustainable Infrastructure GP IV Ltd as sponsors on the RFP phase of stage 1 of the Northland Corridor PPP project.
Christchurch Men’s Prison PPP
Advising a consortium comprised of Plenary Origination Pty Ltd, WBCA Pty Ltd and Leighs Construction as sponsors on the RFP phase of the Christchurch Men’s Prison PPP project.
Centralines / Lodestone solar
Advising Centralines on all aspects of its joint venture with Lodestone Energy for the greenfields development of a 34MW solar generation project in Ongaonga, central Hawke’s Bay.
Verofi Limited
Advising Verofi Limited as servicer to two solarZero securitisation trusts of the SolarZero residential solar platform on all aspects of a ~15,000 customer residential solar platform, structured as a securitisation, following the liquidation of solarZero.
The Treasury
Advising The Treasury on Wellington City Council’s $400 million funding for its sludge minimisation facility utilising financing provided by various funders pursuant to the Infrastructure Funding and Financing Act 2020 model.
